Terms of Service

By accessing or using TALOE MED ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. The Service is intended exclusively for licensed medical practitioners in India.

TALOE MED is a Clinical Decision Support System (CDSS) that:

• Records and transcribes doctor-patient consultations
• Generates structured SOAP clinical notes using artificial intelligence
• Provides clinical reasoning assistance (differential diagnosis, drug interactions, ICD-10 coding)
• Produces exportable clinical documents (PDF, DOCX, prescriptions)

THE SERVICE IS ADVISORY ONLY. It does not replace clinical judgment. All AI-generated outputs are suggestions that must be reviewed, edited, and approved by the treating physician before becoming part of any patient record.

The Service is available only to:

• Licensed medical practitioners registered with a State Medical Council or the National Medical Commission (NMC) of India
• Medical residents and trainees under the supervision of a registered practitioner
• Authorized clinic/hospital staff designated by a registered practitioner

By using the Service, you represent that you meet these eligibility requirements.

As a user of TALOE MED, you agree to:

• Clinical Responsibility: You retain full clinical responsibility for all patient care decisions. AI outputs are advisory and do not constitute medical advice.
• Patient Consent: Obtain appropriate patient consent before recording consultations. Inform patients that AI technology assists in documentation.
• Data Accuracy: Verify all AI-generated clinical content (diagnoses, medications, dosages) before use in patient care.
• Account Security: Maintain the confidentiality of your login credentials. Do not share accounts.
• Lawful Use: Use the Service in compliance with all applicable laws, including the Indian Medical Council (Professional Conduct, Etiquette and Ethics) Regulations, 2002 (as adopted and enforced by the National Medical Commission under the National Medical Commission Act, 2019).

TALOE MED is classified as a Clinical Decision Support System (CDSS), not a Software as Medical Device (SaMD) under:

• CDSCO (India): Not a CDSCO-approved medical device. Not classified as Software as a Medical Device.

The treating physician is always the final decision-maker. This is by design, not by disclaimer.

Our IP: The Service, including all software, algorithms, AI models, user interface designs, branding (TrustGate, TaloeCore, ZeroLoss, CiteCore, DocLoop, HalluciGuard), and documentation, is the proprietary property of Taloe Med LLP.

Your Content: You retain all rights to clinical content generated during your consultations. We do not claim ownership of your SOAP notes, patient data, or exported documents.

AI-Generated Content: Clinical outputs generated by our AI are tools for your use. We do not claim copyright over AI-generated SOAP notes or clinical reasoning outputs.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALOE MED SHALL NOT BE LIABLE FOR:

• Clinical outcomes resulting from reliance on AI-generated suggestions
• Errors in transcription, diagnosis, medication recommendations, or ICD-10 coding
• Service interruptions, data loss, or delays
• Actions of third-party service providers (LLM providers, hosting services)
• Indirect, incidental, consequential, or punitive damages

Our total liability shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Accuracy or completeness of AI-generated clinical content
• Fitness for a particular clinical purpose
• Uninterrupted or error-free operation
• Compatibility with all medical specialties or clinical scenarios

All clinical content carries the disclaimer: "This document is generated by TaloeMed CDSS. It is advisory only and does not replace clinical judgment. Final diagnosis and treatment decisions rest with the treating physician."

Our data handling practices are governed by our Privacy Policy, which forms part of these Terms. Key commitments:

• Compliance with the Digital Personal Data Protection Act 2023 (DPDP Act)
• Patient data is never sold, rented, or used for advertising
• Structured identifiers are redacted before your data is sent to any third-party AI provider
• Audio recordings are encrypted and automatically deleted after 30 days

You may NOT use the Service to:

• Process consultations without appropriate patient awareness
• Generate fraudulent medical records or insurance claims
• Reverse-engineer, decompile, or extract AI models or algorithms
• Share your account credentials or allow unauthorized access
• Use the Service for non-medical purposes
• Exceed usage limits or attempt to circumvent rate limiting

We aim for 99.5% uptime but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance. The Service depends on third-party cloud infrastructure and AI providers whose availability is outside our control.

Either party may terminate use of the Service at any time. Upon termination:

• You may request export of your session data within 30 days
• After 30 days, your data will be securely deleted per our retention policy
• We may terminate your account immediately if you violate these Terms

To the maximum extent permitted by law, you agree to indemnify and hold harmless Taloe Med LLP, its partners, and personnel from any claims, damages, liabilities, or expenses arising from: (a) your clinical decisions and patient care; (b) your use or misuse of the Service; (c) your breach of these Terms; or (d) your violation of any applicable law or the rights of any third party. This reflects that you retain full clinical responsibility for all patient care decisions, as stated in Section 4.

Taloe Med LLP shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, acts of government, power or internet failures, or failures of third-party cloud infrastructure or AI providers. Our obligations are suspended for the duration of such events.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Taloe Med LLP regarding the Service and supersede any prior agreements. Our failure to enforce any provision shall not be deemed a waiver of that or any other provision.

Taloe Med LLP may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, or sale of assets. You may not assign these Terms without our prior written consent.

Governing Law: These Terms are governed by the laws of India.

Jurisdiction: Courts of Hyderabad, Telangana, India shall have exclusive jurisdiction.

Dispute Resolution: Any dispute shall first be attempted to be resolved through mediation. If mediation fails within 30 days, either party may initiate proceedings in the competent court.

We reserve the right to modify these Terms. Material changes will be communicated via in-app notification and email to registered users at least 15 days before taking effect. Continued use after changes constitutes acceptance.
